Terms of Service

These terms govern access to and use of the SocialRIZ website, mobile app, workspace, and related services.

Agreement and eligibility

These Terms of Service are an agreement between you and SocialRIZ (“SocialRIZ,” “we,” “us,” or “our”). By creating or using an account, accepting an invitation, clicking to accept these terms, or using an authenticated SocialRIZ service, you agree to these terms and our Privacy Policy. If you use SocialRIZ for an organization, you confirm that you are at least 18 years old and authorized to bind that organization. If you do not agree, do not use the service.

Accounts and authorized business use

SocialRIZ is provided for lawful business marketing activities. You must provide accurate information, protect login credentials and recovery links, and promptly notify us of suspected unauthorized access. You may use only organizations, businesses, websites, advertising accounts, social profiles, content, and payment methods you are authorized to manage.

Account roles grant different permissions. Organization owners are responsible for membership, approvals, connected accounts, billing, and actions taken by their authorized users. Accounts and access rights may not be sold, transferred, shared with unauthorized people, or used to bypass access controls.

Customer content and permissions

You retain ownership of business information, text, images, marks, instructions, and other material you submit or connect (“Customer Content”). You grant SocialRIZ a limited, nonexclusive, worldwide license to host, copy, process, modify, display, and transmit Customer Content only as reasonably necessary to provide, secure, support, and improve the service and carry out actions you authorize.

You represent that you have the rights and permissions needed for Customer Content and that its use through SocialRIZ will not violate law, intellectual-property rights, privacy rights, or platform rules. SocialRIZ retains all rights in the service, software, design, workflows, documentation, and technology. Feedback may be used without restriction or obligation to you.

AI-assisted recommendations and approvals

SocialRIZ may use automated and AI-assisted systems to organize evidence, identify patterns, and draft audits, forecasts, website material, advertising plans, and other recommendations. Outputs may be incomplete, inaccurate, or unsuitable for a particular business. They are decision-support materials, not guarantees or legal, financial, tax, or advertising advice.

You are responsible for reviewing factual claims, disclosures, audiences, budgets, rights, and legal compliance before approving or using an output. You must maintain substantiation for advertising claims and disclose endorsements, sponsorships, or other material relationships when required.

Publishing and advertising controls

SocialRIZ separates drafting, approval, publication, and advertising activation. Approved advertising campaigns are designed to be created in a paused state. Enabling a campaign or otherwise making it eligible to spend is a separate decision by an authorized user. You remain responsible for provider charges, budgets, account billing, content, targeting, disclosures, policy compliance, and campaign performance.

Third-party services

SocialRIZ may interoperate with services such as advertising, social, hosting, domain, email, payment, and AI providers. Your use of those services remains subject to their terms and policies. We do not control and are not responsible for third-party availability, account decisions, policy enforcement, charges, or changes. You authorize us to exchange information with a provider only as needed for the connection and actions you request.

Fees, subscriptions, and cancellation

The current native mobile app provides operational workspace features without requiring a paid plan. Paid marketing, advertising, website, domain, and subscription services are purchased and managed through the SocialRIZ website, not through the native mobile app. Before any paid subscription begins, SocialRIZ will disclose the price, billing frequency, renewal terms, included services, and how to cancel. If you authorize recurring billing, the subscription continues for the disclosed renewal period until canceled. Online subscriptions may be canceled online through the available account or billing controls. Unless required by law or stated in an order, fees already paid are nonrefundable and cancellation applies at the end of the current paid period.

Taxes and third-party charges are your responsibility unless stated otherwise. We will provide notice of material price or renewal changes as required by applicable law.

Acceptable use

You may not use SocialRIZ to:

  • Violate law, regulation, court order, or platform policy.
  • Access or connect accounts, data, or systems without authorization.
  • Publish deceptive, infringing, discriminatory, or unlawful material.
  • Distribute malware, spam, or abusive communications.
  • Probe, disrupt, reverse engineer, or bypass security or usage limits.
  • Misrepresent identity, authority, evidence, results, or endorsements.
  • Use the service to build or train a competing product without permission.

Suspension and termination

You may stop using SocialRIZ at any time. A signed-in user may initiate personal account deletion, and organization owners may separately delete an eligible workspace, subject to outstanding work, provider connections, legal obligations, and retention described in the Privacy Policy. We may suspend or terminate access for a material breach, security risk, nonpayment, unlawful activity, provider requirement, or conduct that may harm users, third parties, or the service. When reasonably possible, we will provide notice and an opportunity to resolve the issue.

Provisions concerning ownership, payment obligations, disclaimers, liability, indemnification, disputes, and other terms that by their nature should survive will remain effective after termination.

Service availability

Features, availability, usage limits, and provider integrations may change, pause, be limited, or be discontinued. We do not promise uninterrupted or error-free operation, permanent storage, a particular marketing result, or continued availability of any provider integration.

Disclaimers

To the fullest extent permitted by law, SocialRIZ is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing or usage of trade. Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you.

Limitation of liability

To the fullest extent permitted by law, SocialRIZ will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, goodwill, advertising spend, or business opportunity arising from the service. SocialRIZ’s total liability for all claims arising from the service will not exceed the greater of the amount you paid SocialRIZ during the 12 months before the event giving rise to the claim or $100. These limits do not apply where prohibited by law.

Indemnification

To the extent permitted by law, you will defend and indemnify SocialRIZ and its personnel against third-party claims, losses, and reasonable expenses arising from Customer Content, your advertising or publishing activity, your connected accounts, your violation of these terms, or your violation of another person’s rights. We will provide reasonable notice and cooperation, and you may not settle a claim in a way that admits fault or imposes obligations on SocialRIZ without our written consent.

Governing law and disputes

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Before filing a claim, each party will give the other written notice and make a good-faith effort to resolve the dispute for at least 30 days. Any court proceeding must be brought in a state or federal court with jurisdiction over SocialRIZ’s principal place of business, except where applicable law requires otherwise. Nothing here prevents either party from seeking urgent injunctive relief or using an eligible small-claims process.

Changes and general terms

We may update these terms as the service changes. We will update the effective date and provide additional notice of material changes when required. Continued authenticated use after the effective date of an updated version constitutes acceptance where permitted by law.

These terms and any applicable order form are the entire agreement concerning the service and replace prior discussions on that subject. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign these terms without our written consent; SocialRIZ may assign them in connection with a merger, financing, reorganization, or sale of the service or relevant business.
